    Terms of Service

    rsz.app is owned and operated by Spectracular

    Spectracular (“Spectracular”, “we”, “us”, or “our”) owns and operates the rsz.app website, API, and related services (the “Service”). By using the Service, you agree to these Terms of Service (“Terms”). If you do not agree, do not use the Service.

    1. Acceptance of These Terms

    By creating an account, purchasing credits, integrating our API, or otherwise using the Service, you agree to be bound by these Terms and our Privacy Policy (incorporated by reference). If you do not accept all Terms, do not access or use the Service.

    2. Eligibility

    You must be at least 18 years old (or the age of majority where you live) and legally able to enter into contracts on your own behalf or for your organization. All registration information you supply must be true, accurate, complete, and kept up to date.

    3. Description of the Service

    rsz.app is a cloud-based, AI-powered image-processing platform that accepts user-supplied images and returns resized or otherwise transformed outputs via a web interface and/or API. We may add, modify, or discontinue features at any time without liability to you.

    4. Service Plans and Payments

    We offer various service plans with different features and usage limits. When you purchase a subscription or credits:

    • Subscription Plans: Monthly recurring subscriptions that provide you with a monthly credit allowance. Unused credits do not roll over to the next billing cycle.
    • One-time Credit Purchases: Credits purchased individually that do not expire and can be used at any time.
    • Payment Processing: All payments are processed securely through PayPal. By making a purchase, you agree to PayPal's terms of service and privacy policy.

    Pricing and Taxes: All prices displayed on our service:

    • (a) are in United States Dollars (USD);
    • (b) are inclusive of all applicable taxes, duties, and similar charges where required by law.

    5. Refund Policy

    We want you to be satisfied with our service. Our refund policy is as follows:

    Subscription Cancellations

    • You may cancel your subscription at any time through your account settings or by contacting our support team.
    • Cancellations take effect at the end of your current billing cycle, and you will retain access to your subscription benefits until then.
    • Refunds for Current Month: You are eligible for a full refund of your current month's subscription fee only if you have not used any credits from that billing cycle. Once you have processed even one image using your monthly credit allowance, no refund will be provided for that billing period.
    • If you qualify for a refund, it will be processed within 5-10 business days to your original payment method.

    One-time Credit Purchases

    • One-time credit purchases are generally non-refundable once processed.
    • Exceptions may be made at our sole discretion in cases of technical errors, billing mistakes, or other extraordinary circumstances.

    How to Request a Refund

    To request a refund, please contact our support team at [email protected] with:

    • Your account email address
    • The date of purchase
    • The reason for your refund request

    Important: This refund policy does not limit your rights under applicable consumer protection laws. If you are located in a jurisdiction with mandatory consumer refund rights, those rights take precedence over this policy.

    6. Accounts, API Keys, and Security

    You are responsible for: (a) maintaining the confidentiality of passwords, API keys, and tokens; (b) all activity under your credentials; and (c) promptly notifying us of any unauthorized access or security incident. We may suspend or revoke access if we suspect a breach of these Terms or misuse of the Service.

    7. User Content

    7.1 Ownership

    You retain all rights in the images and other content you upload (“User Content”).

    7.2 Limited License to Spectracular

    You grant Spectracular a non-exclusive, worldwide, royalty-free license to host, cache, copy, process, transmit, display, and create non-public derivative works of your User Content solely to operate, improve, secure, and support the Service.

    7.3 Retention

    Upon account closure we will delete active copies of User Content within 90 days, but may retain archival-log copies for up to 7 years as required for legal, audit, or fraud-prevention purposes.

    7.4 Your Representations

    You represent and warrant that: (a) you own or otherwise control all necessary rights in User Content; (b) processing User Content through the Service will not violate any law or third-party right; and (c) you have obtained all required consents (for example, from individuals depicted).

    8. Prohibited Activities

    You agree not to:

    • use the Service for unlawful, harmful, harassing, defamatory, obscene, or infringing purposes;
    • upload content you lack the right to process;
    • scrape, brute-force, or exceed plan limits;
    • reverse-engineer, decompile, or probe the Service or its source code;
    • interfere with servers, networks, or security features;
    • misrepresent the origin of outputs;
    • violate export-control, sanctions, or embargo laws.
    • use the Service, Outputs, or any derivatives to build, train, fine-tune, evaluate, or improve (directly or indirectly) any product, model, or service that competes with the Service (a “Competitive Service” or “Competing Model”).

    For clarity, permitted training uses are described in Section 23. We may remove content, throttle requests, or terminate access for any breach of this section.

    9. Beta and AI Outputs

    Some features may be labeled “Beta,” “Preview,” or similar. They may change, break, or be discontinued at any time. Outputs are generated by automated systems and may contain errors, artifacts, or third-party intellectual property. You must review outputs before any commercial, public, or legal reliance.

    10. Third-Party Components

    The Service may embed or link to third-party or open-source software. Your use of those components is governed exclusively by their respective licenses and terms. We are not responsible for third-party sites or services.

    11. Intellectual-Property Rights

    Except for User Content, all software, design, trademarks, and other content forming the Service are the exclusive property of Spectracular and its licensors. No rights are granted to you except as expressly stated.

    12. Infringement Complaints

    If you believe content processed by or stored on the Service infringes your rights, send a notice to [email protected] with: (a) your physical or electronic signature; (b) identification of the work and the allegedly infringing material; (c) contact information; and (d) a statement of good-faith belief and accuracy under penalty of perjury. We will respond under the U.S. DMCA (17 U.S.C. § 512) and any other applicable law.

    13. Data Protection and Cross-Border Transfers

    You acknowledge that servers may be located in multiple jurisdictions. By using the Service, you consent to the transfer, processing, and storage of personal data as described in our Privacy Policy and in accordance with applicable data-protection laws (for example, GDPR, UK GDPR, CCPA).

    14. Export Control

    You must comply with all U.S. and other applicable export laws and sanctions. You may not use, export, or re-export the Service or any output in violation of such laws.

    15. Disclaimers

    AS IS. The Service and all outputs are provided “AS IS” and “AS AVAILABLE”.

    No Warranties. We disclaim all express, implied, and statutory warranties, including merchantability, fitness for a particular purpose, non-infringement, and uninterrupted availability.

    Your Responsibility. You alone are responsible for verifying that outputs meet your requirements and for complying with all laws and regulations that apply to your use of the Service.

    16. Limitation of Liability

    To the fullest extent permitted by law: (a) Spectracular and its officers, directors, employees, suppliers, and affiliates will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenue, data, or goodwill; and (b) our aggregate liability for all claims will not exceed the greater of (i) the amounts you paid to Spectracular for the Service in the 12 months preceding the claim or (ii) USD $100. Some jurisdictions do not allow certain exclusions or limitations; in such cases our liability is limited to the minimum extent permitted by law.

    17. Indemnification

    You will defend, indemnify, and hold harmless Spectracular and its affiliates, officers, directors, employees, and agents from and against all claims, losses, liabilities, damages, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your use of the Service or outputs; (b) your User Content; (c) your breach of these Terms or any law; or (d) any infringement or misappropriation of third-party rights caused by you.

    18. Suspension and Termination

    You may stop using the Service at any time. We may suspend or terminate the Service or your access (and delete data) immediately, with or without notice, if you breach these Terms, we discontinue the Service, or as required by law. Sections 5, 7, 9–20, and 23 survive termination.

    19. Governing Law and Dispute Resolution

    Governing Law. These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict-of-law principles.

    Binding Arbitration. Any dispute arising out of or relating to these Terms or the Service will be resolved exclusively and finally by binding arbitration administered by JAMS under its Streamlined Rules. The seat of arbitration is Wilmington, Delaware; the language is English.

    Class-Action Waiver. All proceedings must be conducted on an individual basis. No class, collective, or representative actions are permitted.

    Injunctive Relief. Either party may seek injunctive relief in any court of competent jurisdiction for actual or threatened infringement, misappropriation, or breach of confidentiality.

    20. Modifications

    We may update these Terms at any time by posting a revised version and updating the Effective Date. Continued use of the Service after changes become effective constitutes acceptance. If you do not agree to the revised Terms, stop using the Service.

    21. Miscellaneous

    Entire Agreement. These Terms (and any order form or additional policy expressly referenced) constitute the entire agreement between you and Spectracular concerning the Service.

    Severability. If a provision is unenforceable, the remainder remains in effect.

    Assignment. You may not assign or transfer these Terms without our prior written consent. We may assign them freely.

    Force Majeure. We are not liable for delay or failure caused by events beyond our reasonable control.

    No Waiver. Failure to enforce a right or provision is not a waiver of future enforcement.

    23. AI/ML Training and Competitive Use

    23.1 Definitions

    “Outputs” means any content, files, images, transformations, metadata, suggestions, or other results generated or returned by the Service. “Usage Data” means telemetry, logs, request/response pairs, prompts, and other information about your access to or use of the Service. “Dataset” means any collection of data or content (including labeled or unlabeled, synthetic or real) used for training, fine-tuning, testing, or benchmarking an AI/ML system. “Competitive Service” or “Competing Model” means any product, model, or service that provides image processing, transformation, or model-based functionality substantially similar to or that is a substitute for the Service.

    23.2 Permitted Training Use

    Subject to these Terms, you may use Outputs (and Datasets you create from Outputs) to train, fine-tune, evaluate, and improve AI/ML models (including internal models and third-party models you operate), provided that you:

    • do not use Outputs to build, train, fine-tune, evaluate, or improve a Competitive Service or Competing Model;
    • comply with applicable law and third-party rights (including privacy, publicity, and IP);
    • do not attempt to extract or reconstruct our proprietary model weights, source code, or architecture;
    • respect applicable rate limits and security controls and do not circumvent them.

    23.3 Prohibited Competitive Uses

    Notwithstanding Section 23.2, you shall not, and shall not allow any third party to:

    • use the Service, Outputs, or any derivative datasets to build, train, fine-tune, evaluate, or improve any Competitive Service or Competing Model;
    • offer any model, API, or service that replicates or substitutes for the Service’s core image-processing functionality using Outputs as training or evaluation data;
    • systematically scrape, harvest, crawl, cache, or store Outputs or Usage Data in a manner that is intended to reproduce, replace, or materially compete with the Service.

    23.4 Enforcement; Audit; Deletion

    We may enforce this Section by any lawful means, including rate limiting, access throttling, termination, IP blocking, and legal action. We may request a written certification of compliance and the prompt deletion of any Outputs, Usage Data, or Datasets used in violation of this Section. You agree to preserve and provide reasonable information necessary to verify compliance and to irreversibly delete any such materials upon our written request.
